Agreement Overview

These Terms of Service ("Terms") constitute a legal agreement between you ("Client," "Customer," or "you") and Allied 360 ("Allied 360," "Company," "we," "us," or "our") regarding your use of our data destruction, IT asset recovery, compliance management, and related services.

Allied 360 is a leading Australian provider of secure data destruction and IT asset management services, operating across Australia and the Asia-Pacific region. Our services are designed to help organisations securely dispose of sensitive data while maximising asset value recovery and ensuring regulatory compliance.

Important Notice

These terms include important limitations of liability and dispute resolution procedures. Please read them carefully before using our services.

Acceptance of Terms

Agreement to Terms

By accessing or using Allied 360's services, website, or facilities, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

Capacity to Contract

You represent that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are acting on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

Modifications

We reserve the right to modify these terms at any time. Material changes will be communicated through our website or direct notification. Continued use of our services after changes constitutes acceptance of the modified terms.

Description of Services

Data Destruction Services

We provide secure data destruction services including physical destruction, data wiping, and degaussing of electronic devices. All destruction methods comply with industry standards including DoD 5220.22-M, NIST 800-88, ISM (Australian Information Security Manual), and PSPF guidelines.

IT Asset Recovery

Our IT Asset Recovery services include evaluation, refurbishment, remarketing, and recycling of retired IT equipment. We provide asset valuation, data sanitisation, and revenue sharing programs for qualifying assets.

Compliance Management

We offer compliance consulting and management services to help organisations meet regulatory requirements including Privacy Act 1988, APRA CPS 234, PSPF, ISM, and industry-specific standards.

Environmental Services

Our environmental services include responsible recycling, e-waste processing, and sustainability reporting. All services comply with EPA regulations and international environmental standards.

Client Obligations and Responsibilities

Accurate Information

Clients must provide accurate and complete information about assets, data sensitivity levels, compliance requirements, and any special handling instructions. Failure to disclose material information may affect service delivery and liability.

Asset Preparation

Clients are responsible for properly preparing assets for destruction or recovery, including removing personal items, backing up data to be retained, and ensuring assets are accessible for pickup or processing.

Legal Compliance

Clients must ensure they have the legal right to dispose of all assets and data provided to Allied 360. Clients are responsible for compliance with data retention policies, litigation holds, and regulatory requirements.

Safety and Security

Clients must provide safe access to facilities and assets, disclose any hazardous materials or security concerns, and comply with all safety protocols during service delivery.

Pricing and Payment Terms

Service Pricing

Pricing is based on current rate schedules and may vary by service type, volume, location, and compliance requirements. All prices are subject to change with 30 days' notice unless otherwise specified in a written agreement.

Payment Terms

Payment is due within 30 days of invoice date unless otherwise agreed in writing. Late payments may incur interest charges at the rate of 1.5% per month or the maximum allowed by law, whichever is less.

Asset Recovery Revenue

For IT Asset Recovery services, revenue sharing is based on actual recovery proceeds less processing costs. Detailed accounting is provided with settlement payments, typically within 60 days of asset processing.

Additional Charges

Additional charges may apply for expedited services, special handling requirements, witness destruction, detailed reporting, or services outside normal business hours.

Liability and Insurance

Service Liability

Allied 360 maintains comprehensive general liability, professional liability, and cyber liability insurance. Our liability for data destruction services is limited to the replacement cost of the destroyed devices, not the value of data contained thereon.

Data Security

While we maintain the highest security standards, clients acknowledge that no security system is completely infallible. Allied 360's liability for data breaches is limited to direct damages and excludes consequential, indirect, or punitive damages.

Asset Recovery

For asset recovery services, Allied 360's liability is limited to the fair market value of the assets as determined by our evaluation process. We are not liable for data recovery or business interruption costs.

Force Majeure

Allied 360 is not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, labor disputes, or supply chain disruptions.

Confidentiality and Data Protection

Confidentiality Agreement

Allied 360 maintains strict confidentiality regarding all client information, asset details, and business operations. All employees and contractors are bound by confidentiality agreements and undergo background checks.

Data Handling

We follow industry best practices for data handling including secure transport, chain of custody documentation, and controlled access to processing facilities. All data is considered confidential regardless of classification level.

Regulatory Compliance

Our data protection practices comply with applicable regulations including Privacy Act 1988, APRA CPS 234, and Australian Privacy Principles. We provide necessary documentation for client compliance audits.

Incident Response

In the event of a security incident, Allied 360 will promptly notify affected clients and relevant authorities as required by law. We maintain comprehensive incident response procedures and forensic capabilities.

Termination and Cancellation

Termination Rights

Either party may terminate services with 30 days' written notice. Allied 360 may terminate services immediately for non-payment, breach of terms, or safety concerns. Clients may terminate for convenience or unsatisfactory performance.

Effect of Termination

Upon termination, Allied 360 will complete services in progress, return any unprocessed assets, and provide final accounting. Confidentiality obligations survive termination indefinitely.

Cancellation Fees

Cancellation of scheduled services may incur fees for mobilization costs, reserved capacity, or work performed. Emergency or same-day cancellations may incur additional charges.

Data Retention

After service completion or termination, Allied 360 retains service records and certificates of destruction as required by law and industry standards, typically 7-10 years depending on service type and jurisdiction.

Dispute Resolution and Governing Law

Governing Law

These Terms are governed by the laws of the jurisdiction where services are primarily performed, without regard to conflict of law principles. For international clients, specific governing law will be specified in the service agreement.

Dispute Resolution Process

Any disputes arising from these Terms or our services will first be addressed through good faith negotiation. If unresolved within 30 days, disputes may be submitted to binding arbitration or mediation as specified in the service agreement.

Jurisdiction and Venue

For legal proceedings not subject to arbitration, jurisdiction and venue will be in the courts of the jurisdiction where the primary service delivery occurs, or as otherwise specified in the service agreement.

Intellectual Property and Proprietary Rights

Allied 360 Intellectual Property

All Allied 360 processes, methodologies, software, documentation, and proprietary technologies remain the exclusive property of Allied 360. Clients receive no rights to Allied 360 intellectual property except as necessary for service delivery.

Client Data and Assets

Clients retain all rights to their data and assets. Allied 360 claims no ownership interest in client assets or data, except as necessary to perform contracted services. All client intellectual property is protected and confidential.

Service Improvements

Allied 360 may use aggregated, anonymized data from service delivery to improve processes and develop new services, provided no client-specific or confidential information is disclosed.

Additional Legal Provisions

Entire Agreement

These Terms, together with any signed service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Unenforceable provisions will be modified to the minimum extent necessary to make them enforceable.

Assignment

Allied 360 may assign these Terms and any service agreements in connection with a merger, acquisition, or sale of assets. Clients may not assign their rights or obligations without Allied 360's prior written consent.
